Public Offer and User Agreement

This is an English translation provided for convenience. In case of any discrepancy, the Russian version of the document prevails.

Version of October 21, 2026

This document is the public offer of “POLYGON. CONCERT AGENCY” LLC (hereinafter — the Provider) for paid premium access to the Polygon.FM internet radio and, at the same time, a user agreement with rules for using the website https://polygon.fm. We have tried to write in plain language. If any provision conflicts with consumer protection legislation, the law prevails.

1. General provisions

1.1. The Offer is addressed to any individual (Art. 437(2) of the Civil Code of the Russian Federation). By accepting it, the User enters into an agreement with the Provider on the terms of the Offer (hereinafter — the Agreement). The terms are accepted in full, without exceptions (Art. 428 of the Civil Code of the Russian Federation).

1.2. The Offer is accepted by setting up a Subscription on the Site and paying for the first Paid Period or, if the checkout page provides for a trial period, by setting up a Subscription and linking a bank card (Art. 438(3) of the Civil Code of the Russian Federation). Before paying, the User confirms on the checkout page that they have read the Offer and agree to it, including, if a payment method with auto-renewal is chosen, the terms of automatic renewal. The Agreement is considered concluded from the moment of successful payment or card linking.

1.3. If the User uses the Site without a Subscription (listens to the free channel, registers), sections 9–12 and 14 of the Offer apply.

1.4. A Subscription may be set up by a legally capable citizen. A minor may do so within the limits in which the law allows them to enter into transactions independently (Arts. 26 and 28 of the Civil Code of the Russian Federation) or with the consent of their parents (legal representatives).

1.5. The current version of the Offer is always published at https://polygon.fm/agreement/. The following also apply together with it: Personal Data Processing Policy (hereinafter — the Policy) and Payment Rules.

2. Terms

  • Site — the website https://polygon.fm with all its pages.
  • Service — the Polygon.FM internet radio: music channels that are broadcast on the Site in real time (streaming).
  • User — an individual who uses the Site. A User who has set up a Subscription is a Subscriber.
  • Content — the broadcast of the Service’s channels (musical works, phonograms, on-air presentation), as well as the texts, images, design and software of the Site.
  • Premium Access (the paid service) — listening to the Service’s channels without ads, including premium channels, during the Paid Period.
  • Subscription — Premium Access set up under the chosen Plan: with automatic renewal (when paying with a card from a Russian bank) or for one Paid Period without renewal (One-time Subscription).
  • Plan — the price and length of the Paid Period.
  • Paid Period — the term for which Premium Access is paid.
  • Auto-renewal (auto-payment) — automatic charging of the price of the next Paid Period to the Subscriber’s bank card.
  • One-time Subscription — a Subscription paid with a foreign bank card in a single payment: it is valid for the Paid Period and does not renew automatically (clause 5.7).
  • Payment Service — the organization through which payments are accepted on the Site: CloudPayments (CloudPayments LLC) or Prodamus (Prodamus LLC).
  • Personal Account — the section of the Site for a registered User. The Subscription is managed in the subscriptions section: https://polygon.fm/my-account/subscriptions/.

3. Subject of the Agreement

3.1. The Provider grants the Subscriber Premium Access for the Paid Period, and the Subscriber pays for it under the Plan. At the end of each Paid Period the Subscription renews for the next period, with payment under the rules of section 5, until the Subscriber turns off Auto-renewal. A One-time Subscription does not renew: it ends at the end of the Paid Period (clause 5.7). The Agreement is a subscription-type agreement (Art. 429.4 of the Civil Code of the Russian Federation), and the Subscriber may withdraw from it at any time (section 7).

3.2. Premium Access means listening to all channels of the Service without ads, including premium channels that are not available without a Subscription. Without a Subscription only part of the Content (the free channel) is available on the Site. The current list of channels is published on the Site.

3.3. Premium Access is provided on the Site, in a browser, after logging in to the Personal Account. The User provides their own device, browser and internet connection.

3.4. Premium Access is opened as soon as the Payment Service confirms the payment, and is valid until the end of the Paid Period. The Subscription status, the date of the next charge or the Subscription end date are visible in the Personal Account.

3.5. The broadcast is a living product: the Provider compiles the channel programming itself, updates the music, may change channel names and presentation, add new channels and replace existing ones. If during the Paid Period there are fewer premium channels, or Premium Access otherwise becomes significantly worse than at the time of payment, the Subscriber may withdraw from the Agreement and get a refund for the unused part of the period (section 7).

4. Setting up a subscription, plans and payment

4.1. A Subscription is set up on the checkout page on the Site and is linked to the User’s account. If there is no account, one is created during checkout: this requires a name, phone number, email address and password.

4.2. Plans as of the date of this version:

  • monthly — 100 rubles for 1 month of Premium Access (when paying with a foreign bank card — 1 US dollar for 30 days);
  • annual — 1000 rubles for 1 year of Premium Access (when paying with a foreign bank card — 10 US dollars for 365 days).

Before payment, the checkout page states the price, the length of the period and the date of the next charge (for a One-time Subscription — the end date). This information is part of the Offer. The price is final: the Provider does not charge the Subscriber any additional payments or fees.

4.3. The length of the Paid Period depends on the Payment Service:

  • when paying through CloudPayments — a calendar month or a calendar year: the period ends on the same day of the next month (year);
  • when paying through Prodamus, including a One-time Subscription — 30 days for the monthly plan and 365 days for the annual plan.

The exact dates of the end of the period and of the next charge are stated at checkout and in the Personal Account.

4.4. The Subscription is paid by bank card. The User chooses the payment method on the checkout page:

  • “Russian card” — cards of Russian banks (Mir, Visa, Mastercard). The main method: the payment is accepted by CloudPayments LLC (OOO “KLAUDPEYMENTS”), the Subscription renews automatically;
  • “Russian card — backup method” — the same cards of Russian banks; the payment is accepted by Prodamus LLC on the payment page polygonfm.payform.ru in favour of the Provider. This method is for the case when payment by the main method is temporarily unavailable; the Subscription also renews automatically;
  • “Foreign bank card” — cards of banks in other countries. The payment is one-time: it is accepted by Prodamus LLC on the same payment page in favour of the Provider; a One-time Subscription without automatic charges is set up (clause 5.7). Cards of banks in some countries are not accepted by this method; the list is in the Payment Rules.

4.5. Prices are stated in rubles and, when paying with a foreign bank card, in US dollars (clause 4.2). When paying with a card from a Russian bank, the payment is made in rubles; if the card is issued in another currency, the amount is converted at the exchange rate of the bank that issued the card, which may also charge its own fee. When paying with a foreign bank card, the payment is made in US dollars in the amount stated in clause 4.2 (for Belarusian cards — in Belarusian rubles at the equivalent amount); if the card is issued in another currency, the issuing bank converts the amount at its own rate and may charge its own fee. The Payment Service and the Provider do not charge the Subscriber any fee on top of the stated amount. The Provider has no influence on the bank’s exchange rate and fees.

4.6. The User enters card details on the Payment Service’s page. The Provider does not receive or store the full card number or the CVC/CVV code. For more on payment security, see the Payment Rules.

4.7. The User pays for the Subscription with their own card or with a card whose owner has allowed them to do so.

4.8. If no trial period is stated on the checkout page, the first Paid Period is paid immediately when the Subscription is set up.

4.9. Trial and promotional periods. If the checkout page offers a trial (including free) or promotional period, its length and price, as well as the amount and date of the first charge under the Plan, are stated there before checkout. To verify the card, the Payment Service may block a small amount on it and release the block immediately. At the end of the trial or promotional period the Subscription automatically renews under the Plan, unless the Subscriber has turned off Auto-renewal before then. It can be turned off at any time during the trial period: there will be no charge, and access will remain until the end of the trial period.

4.10. Discounts and promo codes. The size of the discount and the payments it applies to are stated on the checkout page. Unless stated otherwise there, the discount applies only to the first payment, and subsequent periods are paid at the Plan price.

4.11. For every payment and refund, an electronic cash receipt is sent to the User in accordance with Federal Law No. 54-FZ — to the email address (or phone number) given at payment. When paying with a foreign bank card, the receipt is issued under the rules of the Payment Service; if the receipt has not arrived, write to info@polygon.fm.

4.12. The User’s payment obligation is considered fulfilled when the Payment Service has confirmed a successful transaction.

5. Auto-renewal and consent to automatic charges

5.1. When paying with a card from a Russian bank, the Subscription is set up with Auto-renewal. By setting up the Subscription, the Subscriber agrees that payment for each subsequent Paid Period will be charged to the card used to pay for the Subscription, without re-entering card details, on the following terms:

  • amount — the amount of subsequent charges stated when the Subscription is set up: 100 rubles for the monthly plan or 1000 rubles for the annual plan, unless the checkout page states otherwise;
  • frequency — one charge per Paid Period: for the monthly plan — once a month (through Prodamus — once every 30 days), for the annual plan — once a year (through Prodamus — once every 365 days);
  • date — the last day of the current Paid Period; it is shown in the Personal Account;
  • term — the number of charges is unlimited: they continue until the Subscriber turns off Auto-renewal or the Agreement ends;
  • turning off — at any time, by the methods in section 6.

5.2. Charges are made by the same Payment Service through which the Subscription was set up. As a rule, there is no need to confirm them with a 3-D Secure code.

5.3. Before the charge for the next period, the Subscriber receives an email reminder with the date and amount of the charge — from the Provider or, if the Subscription was set up through Prodamus, from Prodamus.

5.4. The price of an existing Subscription does not change. If the Provider changes the Plans, the new prices apply only to Subscriptions set up after the change. An existing Subscription continues to be charged the previous amount for as long as it renews.

5.5. If a charge fails (for example, the card has insufficient funds or has expired), the Payment Service may retry within several days on its own schedule. Until payment goes through, Premium Access may be suspended. If the next period cannot be paid in the end, the Subscription terminates and Premium Access is turned off. Non-payment does not create a debt to the Provider, and there are no penalties: the Agreement simply does not renew. To resume Premium Access, it is enough to set up the Subscription again.

5.6. To change the card, turn off Auto-renewal and, when the current period ends, set up the Subscription again with another card. If you need help, write to info@polygon.fm.

5.7. One-time Subscription (foreign bank card). Payment with a foreign bank card is a one-time payment: the Subscription is valid for 30 days (monthly plan) or 365 days (annual plan) from the moment of payment and does not renew automatically; card details are not stored for repeat charges. If the Subscriber pays for the next period before the current one ends, the new period starts on the date the current one ends. 3 days before the end, the Provider sends a reminder by email and shows it on the Site, offering to extend the Subscription for 30 or 365 days. If the next period is not paid, the Subscription ends at the end of the Paid Period, Premium Access is turned off, and the account moves to the free plan (the free channel remains available). Non-payment does not create a debt to the Provider.

6. How to turn off auto-renewal

6.1. The Subscriber may at any time withdraw from automatic charges, that is, from the use of their card details for periodic payments under the Subscription. This can be done in any of the following ways:

  • click the “Cancel auto-payment” button in the subscriptions section of the Personal Account: https://polygon.fm/my-account/subscriptions/;
  • if the Subscription was set up through Prodamus — follow the turn-off link in Prodamus’s email;
  • write to info@polygon.fm from the email address given in the account, or state that address in the email.

6.2. Turning off via the button or the link takes effect immediately. A withdrawal sent by email takes effect from the moment the Provider receives the email; the Provider turns off Auto-renewal and confirms this by a reply email. If money is still charged to the card after the withdrawal, the Provider refunds the entire amount charged.

6.3. After Auto-renewal is turned off there will be no new charges, and Premium Access remains until the end of the already Paid Period. The Personal Account shows the auto-payment status “Disabled” and the Subscription end date.

6.4. Auto-renewal cannot be turned back on for the same Subscription: Subscriptions set up through Prodamus do not have this option. To continue using Premium Access after the period ends, the Subscription must be set up again.

6.5. Turning off Auto-renewal does not by itself interrupt the current period and does not mean a refund. If the Subscriber wants to end the Subscription early and get money back for the remaining days, they submit a request under the rules of section 7.

6.6. A One-time Subscription does not involve automatic charges, so there is no need to turn off Auto-renewal for it.

7. Withdrawal from the Agreement and refunds

7.1. The Subscriber may withdraw from the Agreement at any time (Art. 32 of the Law of the Russian Federation “On Consumer Rights Protection”, Art. 782 of the Civil Code of the Russian Federation). In this case they pay only for the Premium Access actually provided before the withdrawal; the rest of the money is returned to them.

7.2. To get a refund, write to info@polygon.fm: give the account’s email address and, if possible, the date and amount of the payment. You do not need to explain the reason, and no special request form is required. If you do not have access to the account’s mailbox, write from another address: the Provider may ask you to confirm that the account is yours.

7.3. The refund amount for the unused period is calculated pro rata: the price of the Paid Period is divided by the number of days in it and multiplied by the number of full days remaining until the end of the period after the day the request is received. For example, an annual Subscription for 1000 rubles (365 days) was used for 61 days, 304 days remain — 1000 × 304 / 365 = 832.88 rubles are refunded. When paying with a foreign bank card, the refund is calculated in the same way — from the amount paid in US dollars (an annual Subscription for 10 dollars, 304 days remaining — 10 × 304 / 365 = 8.33 dollars). Nothing is withheld except the cost of the access already provided: neither Payment Service fees nor other expenses.

7.4. The money is refunded in full if:

  • the charge was made after the Subscriber turned off Auto-renewal or withdrew from the Agreement;
  • money was charged by mistake or twice for the same period;
  • Premium Access was not provided after payment through the Provider’s fault.

7.5. The Provider processes the refund within 10 days of receiving the request and informs the Subscriber of the amount by email. The money is returned to the card from which the payment was made, through the same Payment Service. The time it takes to be credited depends on the bank that issued the card. If the card is in another currency, the amount in the card currency may differ from the amount charged because of the bank’s exchange rate. If the card is closed, the money goes to the account for which it was issued; if that is also impossible, the Provider agrees another refund method with the Subscriber.

7.6. A refund request also means withdrawal from the Agreement: Auto-renewal is turned off from the moment it is received. Premium Access under this Subscription ends when the Provider processes the refund; the Subscriber does not pay for the days between receipt of the request and processing of the refund.

8. Rights and obligations of the Parties

8.1. The Provider undertakes to:

  • provide Premium Access throughout the whole Paid Period;
  • not to charge money after the Subscriber has turned off Auto-renewal or withdrawn from the Agreement;
  • inform the Subscriber of changes to the terms in the manner provided in section 13;
  • respond to inquiries and consider claims and refund requests within 10 days of receipt;
  • fix failures on its side as quickly as possible and, where possible, warn on the Site in advance about planned work that will interrupt the broadcast;
  • process Users’ personal data in accordance with the law and the Policy.

8.2. The Provider has the right to:

  • carry out maintenance work on the Site and in the Service, where possible during the hours of lowest load;
  • update the Site, the programming and the presentation of the channels, subject to clause 3.5;
  • take measures in the event of a violation of the rules for using the Site (clauses 9.2 and 9.3).

8.3. The User undertakes to:

  • give a valid email address: receipts, reminders about charges and the end of the Subscription, and notices of changes to the terms are sent to it;
  • not to share the account password with anyone and, if someone else has gained access to the account, to change the password and inform the Provider;
  • comply with the rules for using the Site (section 9).

8.4. The User has the right to use Premium Access during the Paid Period, to turn off Auto-renewal at any time, to withdraw from the Agreement on the terms of section 7, to receive information about the Subscription and payments, to contact support, and to delete the account by writing to info@polygon.fm. When an account is deleted, Auto-renewal is turned off, and money for the unused period is refunded under the rules of section 7 if the User asks for it.

9. Rules for using the Site

9.1. When using the Site and the Service, it is prohibited to:

  • transfer, sell or lease access to your account and Subscription to other persons, or publish links to the broadcast streams and access keys to them;
  • without the Provider’s permission, record the broadcast for distribution, rebroadcast it, embed it on other sites and in apps, or perform it publicly (clause 10.3);
  • circumvent technical means that restrict access to premium channels, or log in to other people’s accounts without their owners’ consent;
  • guess other people’s passwords, interfere with the operation of the Site, create excessive load on it, or access the Site using robot programs (other than search engines);
  • register on behalf of another person or give someone else’s contact details;
  • use the Site to send spam or for other unlawful purposes.

9.2. If the User violates these rules, the Provider may send them a warning by email. In the case of a material or repeated violation (reselling access, rebroadcasting the broadcast, hacking), the Provider has the right to withdraw from the Agreement by notifying the User by email; in this case the Provider refunds the money for the unused part of the Paid Period (Art. 782(2) of the Civil Code of the Russian Federation).

9.3. If there are clear signs that the account is being used by an outsider (hacking), the Provider may temporarily restrict access to the account in order to protect it, and informs the User of this by email. If the User did not violate the rules, the time of the restriction is added to the Paid Period at their request.

10. Intellectual property

10.1. The Content is protected by intellectual property law. Rights to musical works and phonograms belong to their rights holders; rights to the Site, its design and software, the on-air presentation, and the Polygon.FM name and logo belong to the Provider or other rights holders.

10.2. The Subscription gives the right to listen to the channels’ broadcast in real time for personal, non-commercial purposes. It does not transfer any exclusive rights and does not give the right to copy, record, download, distribute, rebroadcast or otherwise use the Content, except where the law allows this without the rights holder’s consent.

10.3. Public performance of the broadcast — in cafés, shops, offices, salons, gyms, transport and other places open to the public — is not included in the Subscription and requires separate permission from the rights holders.

10.4. Infringement of rights to the Content can be reported to info@polygon.fm. The Provider reviews such reports and, if the violation is confirmed, eliminates it.

11. Personal data and notifications

11.1. The Provider processes Users’ personal data in accordance with Federal Law No. 152-FZ “On Personal Data” and the Policy. The Offer does not duplicate the Policy and does not replace consent to the processing of personal data where the law requires it: where such consent is needed, the User gives it separately.

11.2. To conclude and perform the Agreement, the Provider processes the name, email address, phone number, account data, and information about the Subscription and payments. The Provider does not receive full bank card details: they are processed by the Payment Services and banks under their own rules.

11.3. To process a payment and issue a cash receipt, the Provider passes the necessary information to the Payment Service chosen by the User: the amount, order number, email address and phone number.

11.4. Service messages — receipts, reminders about charges and the end of the Subscription, notices of changes to the terms, support replies — are sent to the email address from the account: the Agreement cannot be performed without them. The Provider sends promotional and informational mailings only with the User’s separate consent; you can opt out at any time via the link in the email or by writing to info@polygon.fm.

11.5. Messages that the Parties exchange by email between the address from the User’s account and the address info@polygon.fm, have legal force (Art. 165.1 of the Civil Code of the Russian Federation). Written communications may also be sent by post to the Provider’s address given in section 15.

12. Liability

12.1. The Parties are liable for non-performance or improper performance of the Agreement in accordance with the legislation of the Russian Federation, including the Law of the Russian Federation “On Consumer Rights Protection”. The Offer does not limit the User’s rights as a consumer.

12.2. The Service is an online broadcast, and its operation may be interrupted by maintenance work or by failures of equipment, software and communication channels. The Provider strives to broadcast around the clock and fixes failures on its side as quickly as possible. If Premium Access was not provided through the Provider’s fault, the Subscriber may, at their choice, demand an extension of the Paid Period by that time or a proportionate reduction of the price (a refund of part of the payment), and may also use other rights granted to them by Art. 29 of the Law of the Russian Federation “On Consumer Rights Protection”.

12.3. The Provider is not liable for the inability to use the Service for reasons for which it is not liable by law, in particular:

  • malfunction, settings or incompatibility of the User’s device and browser;
  • absence, low speed or restrictions of the internet connection on the User’s side;
  • access restrictions imposed by telecom operators, public authorities or other persons whom the Provider did not engage in providing the paid service;
  • refusal of the User’s bank to carry out a transaction;
  • force majeure (Art. 401(3) of the Civil Code of the Russian Federation).

12.4. Payment Services, banks and payment systems operate under their own rules: the Provider cannot influence a bank’s decision to decline a transaction or the time it takes for money to be credited. If a problem arises with a payment or refund, the Provider helps to resolve it and contacts the Payment Service itself. The Site may contain links to third-party sites; the Provider does not control their content and is not responsible for it.

12.5. The User is responsible for keeping their password safe. The Provider is not liable for the consequences of the User passing the password to other persons.

13. Term and changes to the terms

13.1. The Agreement is valid from the moment of acceptance until the end of the last Paid Period, if Auto-renewal is turned off, or until the Agreement is terminated on the grounds provided by the Offer and the law.

13.2. The Provider may amend the Offer by publishing a new version with a date at https://polygon.fm/agreement/. The Provider notifies Subscribers of changes that affect the Subscription by email and on the Site no later than 10 days before they take effect.

13.3. Changes do not apply to an already Paid Period and do not change the price of the current Subscription (clause 5.4). If the Subscriber does not agree with the new version, they may turn off Auto-renewal before it takes effect — then Premium Access remains until the end of the period on the previous terms — or withdraw from the Agreement with a refund for the unused period (section 7). If Auto-renewal is not turned off, the next Paid Period is provided on the terms of the new version.

13.4. The Provider may discontinue the Service or paid access to it by notifying Subscribers by email and on the Site no later than 30 days in advance. In this case Auto-renewal is turned off, and money for the unused part of the Paid Period is refunded under the rules of section 7 without a request from the Subscriber.

13.5. Obligations to refund money and to consider claims remain in force after the Agreement ends.

14. Dispute resolution

14.1. The Agreement is governed by the legislation of the Russian Federation. If the User lives in another country, this does not deprive them of the protection afforded by the mandatory rules of law of the country of their residence, in the cases provided for by Art. 1212 of the Civil Code of the Russian Federation.

14.2. If something goes wrong, write to info@polygon.fm — most issues are resolved this way. A claim can also be sent by post to the Provider’s address. The Provider replies to a claim within 10 days of receiving it.

14.3. The pre-trial claim procedure is not mandatory: the User may go to court without sending a claim. At the User’s choice, a claim may be filed with the court at the Provider’s location, at the User’s place of residence or stay, or at the place where the Agreement was concluded or performed (Art. 17 of the Law of the Russian Federation “On Consumer Rights Protection”).
